Commercial rental agreement for offices, shops and warehouses
Built for business premises, with the trade licence, GST, fit-out and business-use obligations that a residential template simply doesn't carry.
Is this the right instrument for you?
Picking the wrong one is the most expensive mistake in a rental. If none of these describe your situation, tell us and we will point you to the right one — even if it is cheaper.
Not sure? Ask usOwners letting office space, a shop or a godown
Businesses taking premises and needing a clean paper trail for GST
Coworking and managed-office operators
Retail chains standardising terms across branches
Permitted-use clause tied to your actual business
The premises can be used for the business you name and nothing else, which protects the owner from a change of trade and gives the tenant certainty that the use is authorised.
Regulatory obligations, allocated
Shops and Establishments registration, trade licence, fire clearance and GST registration all placed with the tenant, with the landlord expressly not answerable for the tenant's regulatory defaults.
Fit-out and reinstatement
Non-structural fit-out permitted with written consent, with a duty to restore the premises at the end of the term. Prevents the most expensive argument in commercial letting.
Longer terms with escalation built in
Defaults to 36 months with a periodic escalation clause, and flags the compulsory registration that follows any term of 12 months or more.

Three things cheap templates get wrong
These are the failures we see most often when someone brings us an agreement that has already gone wrong.
Using a residential template for a shop
It will lack the permitted-use, trade-licence and reinstatement clauses. When the tenant changes trade or leaves behind a stripped interior, there is nothing to point at.
Forgetting that 12 months means registration
Most commercial terms run three years, which makes registration compulsory. An unregistered long lease is inadmissible to prove the term. We compute the fee and flag it before you pay.
Silence on signage and fit-out
Without an express clause, disputes over hoardings, glass fronts and stripped-out interiors have no answer in the document.
Six promises, in writing
We would rather be judged on what we guarantee than on numbers you cannot check. Each of these applies to your first order.
Government charges at cost
Stamp duty and registration fees pass through at exactly the rate the state levies, shown as a separate line on your invoice. We earn the platform fee and nothing else, and GST applies to that fee alone.
Every certificate is verifiable
Each sheet and e-Stamp carries a serial number you can check against the Registration Department's records. We print it on your invoice so you can verify us without asking us.
We tell you when you don't need us
If an 11-month agreement does the job, we will not sell you a registered lease. If your term crosses 12 months we flag the registration you cannot avoid, before you pay rather than after.
You see the document before you commit
The full agreement is on screen while you fill it in. Clauses appear and disappear as your answers change, so nothing in the final PDF is boilerplate you never read.
Refunds without a process
Cancel before the e-stamp is procured and you get everything back — no form, no questions. After that, the government duty is genuinely gone, but our fee comes back in full if the fault is ours.
Your identity data stays yours
Aadhaar and PAN are encrypted at rest, masked everywhere in the interface, and never written to a log. We do not sell data and we do not pass it to anyone but the stamping authority.
Commercial Rental Agreement — common questions
Where the landlord is registered and the annual rent crosses the threshold, GST at 18% applies to commercial letting. Residential letting to an individual for residence is exempt. Our agreement records who bears it; your accountant should confirm your registration position.
Yes. Tick the GST invoice box at payment and enter your GSTIN, and we will issue a tax invoice in your business name.
Six to ten months' rent is customary, higher than residential. In prime retail locations it can be more. The builder suggests six months and you can change it.

When the term runs 12 months or longer, registration stops being optional. A lease deed gives you the strongest evidentiary position available — and we handle the registration mechanics.

A licence grants permission to occupy without creating an interest in the property. Get the drafting wrong and a court will read it as a tenancy — which is exactly what the owner was trying to avoid.
